Why the annexes matter
A construction contract is only as clear as the documents defining the actual project. The full agreement is therefore designed to work together with the Construction Drawings, BOQ, Materials and Technical Specifications and Construction Schedule. The contract text does not replace those documents; it establishes how they work together and what happens if there is a discrepancy, change, delay or defective item.
For house and villa construction in Thailand
This template is intended for residential building projects such as a private house or villa. It can accommodate projects where the Contractor provides the design as well as projects where the Customer already has drawings prepared by an independent architect or engineer.
It can also accommodate either the Contractor or the Customer handling the building permit process, provided the relevant option is selected and the project-specific responsibilities are completed before signing.

What is this Thai-English construction contract intended for?
It is intended for a new residential house or villa construction project in Thailand, where a Customer engages a construction contractor and wants the scope, contract price, drawings, BOQ, payments, changes, completion, handover and defects documented in one bilingual agreement.
Does the contract cover a Thai building permit and Section 39 bis?
Yes. The template contains selectable provisions allocating responsibility for the building permit application or, where applicable, the notification procedure under Section 39 bis of the Building Control Act. The project-specific option must be completed consistently with the actual permit procedure used for the project.
How are construction payments structured?
The agreement uses progress-based instalments linked to construction stages. The actual percentages and amounts should be completed for the individual project and coordinated with the BOQ or a more detailed payment schedule.
Can the Contractor change the price or materials without approval?
The template requires material substitutions and Variations affecting scope, price or time to be documented and approved in writing in accordance with the contract. The Contractor is not given a general unilateral right to increase the Contract Price.
Does payment mean the Customer has accepted defective work?
No. The contract separates progress-payment approval from final Taking-Over and states that inspection or payment of an instalment does not by itself constitute acceptance of defective, incomplete or non-conforming Work.
Is this online preview the complete construction agreement?
No. The online text intentionally shows selected clauses only. The complete editable document contains the remaining contractual provisions and must be completed together with the relevant project annexes before use.
